Welcome to CometaFlow! These Terms of Service ("Terms") govern your access to and use of the CometaFlow application and services ("Service"), operated by Key Point LLC ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Service Description

CometaFlow is an AI-powered chatbot automation service designed for businesses to streamline communication, facilitate sales conversations, qualify leads, and transfer actionable lead data to their sales teams via Instagram and Facebook Messenger.

2. Free Service Model & Early Adopter Program

• a. Free Access: Currently, CometaFlow is offered to you at no charge as part of our early adopter program to gather a client base. This includes a generous amount of free automated messages and access to our core lead generation and sales handover features.
• b. No Payment/Billing: During this free period, you will not be charged for using the Service, and no payment information is required to start. Automated payment processing is not yet implemented.
• c. Changes to Service Model: We reserve the right to introduce pricing, implement usage limits, or modify the free tier or any part of the Service at any time, with prior notice to you. Any such changes will be communicated via email or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the new terms.

3. Your Account and Responsibilities

• a. Business Use Only: You must be a legal business entity or an authorized representative acting on behalf of a business to use CometaFlow. The Service is for commercial use only.
• b. Meta Platform Integration:
  • To use CometaFlow, you must have an active Facebook Page and an Instagram Professional Account that is correctly linked to that Facebook Page.
  • You are solely responsible for maintaining the security of your Facebook and Instagram accounts, including any associated login credentials.
  • You grant CometaFlow necessary permissions through Meta's authorization process (Facebook Login for Business) to access your connected Facebook Page and Instagram Professional Account to provide the Service. You understand that CometaFlow will access and manage messages and related data on these platforms on your behalf.
  • You agree that your use of Facebook and Instagram, even when integrated with CometaFlow, remains subject to their respective terms of service and policies.
• c. Accurate Information: You agree to provide accurate and complete information when engaging with us (e.g., during demo booking or setup).
• d. Lawful Use: You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service. This includes, but is not limited to, not using the Service for spamming, harassment, or transmitting illegal content.
• e. Content Responsibility: You are solely responsible for the content of the messages and communications sent by CometaFlow on your behalf, and for ensuring it complies with all applicable laws and Meta's policies.

4. Intellectual Property

• a. Our Rights: The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Key Point LLC and its licensors. The CometaFlow name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Key Point LLC or its affiliates or licensors.
• b. Your Content: You retain all rights to the messages sent to your Facebook Page/Instagram Account and the lead data collected on your behalf. By using the Service, you grant us a limited, non-exclusive, non-transferable, revocable license to access, process, and store such data solely for the purpose of providing and improving the Service to you.

5. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service and/or contact us to request data deletion.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. KEY POINT LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS; (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

7. Limitation of Liability

IN NO EVENT SHALL KEY POINT LLC, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your Jurisdiction, e.g., The Republic of Armenia] without regard to its conflict of law provisions.

9. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
